1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AIPOTHERY LLC ("Company," "we," "us," or "our") governing your access to and use of the AppSeshn application available at www.appseshn.com and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

AppSeshn is a salon booking, appointment, and management application operated by AIPOTHERY LLC. It enables salon businesses to manage appointments, communicate with clients via SMS, process walk-ins, manage employee schedules, facilitate optional tipping between customers and service providers via third-party payment platforms, and streamline daily operations. Features may include online booking, appointment reminders via SMS, client management, real-time floor status, reporting, and third-party integrations.

3. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@aipothery.com if you suspect any unauthorized use of your account.

5. Subscriptions and Payments

5.1 Subscription Plans

AppSeshn may offer subscription-based plans with varying features and pricing. Details of available plans, including pricing and features, are provided within the application.

5.2 Payment Processing

All subscription payments are processed through Stripe. By subscribing to a paid plan, you agree to Stripe's terms of service and authorize us to charge your designated payment method on a recurring basis according to your selected plan. We do not store your full payment card details on our servers.

5.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

5.4 Price Changes

We reserve the right to modify subscription pricing at any time. We will provide reasonable advance notice of any price changes. Continued use of the Services after a price change constitutes acceptance of the new pricing.

6. Third-Party Integrations

6.1 Square Integration

AppSeshn offers an optional integration with Square for point-of-sale payment processing. If you choose to connect your Square account, you authorize us to access and use data from your Square account as necessary to provide the integrated features, including payment tracking and visit records. Your use of Square is governed by Square's own terms of service and privacy policy.

6.2 Dropbox Cloud Backup

AppSeshn offers an optional cloud backup feature through Dropbox. If you connect your Dropbox account, your store data (including customer, employee, appointment, and visit records) may be exported and stored in your Dropbox account. You are responsible for your Dropbox account security and compliance with Dropbox's terms of service.

6.3 Venmo Tipping

AppSeshn allows service providers (technicians/stylists) to optionally share their Venmo username with customers for post-visit tipping. AppSeshn does not process, facilitate, or take any fee from Venmo transactions. We simply provide a link to the service provider's Venmo profile. Venmo is operated by PayPal, Inc. Any transactions you conduct through Venmo are governed solely by Venmo's/PayPal's terms of service and privacy policy. AIPOTHERY LLC is not responsible for any disputes, errors, or issues arising from Venmo transactions.

6.4 Other Integrations

We may offer additional third-party integrations from time to time. Your use of any third-party service is subject to that service's own terms and policies. We are not responsible for the availability, accuracy, or practices of any third-party services.

7. SMS/Text Messaging Terms

7.1 Consent

By providing your phone number and opting in to receive text messages through AppSeshn, you consent to receive SMS messages from us or on behalf of businesses using our platform. These messages may include appointment confirmations, reminders, updates, cancellations, queue notifications, and one-time verification codes for account authentication.

7.2 Message Frequency and Rates

Message frequency varies based on appointment and queue activity. Standard message and data rates may apply depending on your mobile carrier and plan.

7.3 Opt-Out

You may opt out of receiving SMS messages at any time by replying STOP to any message you receive. After opting out, you will receive a confirmation message and will no longer receive SMS messages from us unless you opt in again. For assistance, reply HELP or contact us at hello@aipothery.com.

7.4 No Sharing for Marketing

We will not sell, rent, or share your phone number or SMS consent information with third parties for their marketing purposes.

8. Acceptable Use

You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the rights of others, including intellectual property rights.
• Transmit any material that is harmful, threatening, abusive, defamatory, or otherwise objectionable.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to the Services or related systems or networks.
• Use the Services for any fraudulent or deceptive purpose.
• Send unsolicited or unauthorized advertising, spam, or promotional messages through the SMS features.
• Use automated means (bots, scrapers, etc.) to access the Services without our prior written consent.

9. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and trademarks — are the exclusive property of AIPOTHERY LLC and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Services without our prior written consent.

10. User Content

You retain ownership of any content you submit or upload to the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely as necessary to provide and improve the Services. You represent and warrant that you have all necessary rights to grant this license.

11. Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AIPOTHERY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless AIPOTHERY LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

15. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of accepting these Terms by notifying us at hello@aipothery.com.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIPOTHERY LLC regarding your use of the Services and supersede all prior agreements and understandings.
